OAKENZ Trade Terms of Trade (New Zealand)
Version 1.4 - effective 21 October 2026
These terms apply to all supply of goods by Ventures Limited trading as OAKENZ (NZBN 9429035888246, GST 85-644-564) ("OAKENZ", "we", "us") to a business trade customer ("you"). By ticking "I have read and accept the OAKENZ Trade Terms" on the trade account application, or by placing any trade order, you accept these terms on behalf of your business and confirm you are authorised to do so.
1. Trade accounts
1.1 Trade accounts are available to New Zealand retail businesses only and are opened at our discretion.
1.2 All trade orders must be paid before dispatch. We do not offer credit or account terms.
1.3 You must tell us promptly about any change to your business name, ownership, address or contact details.
2. Orders
2.1 Orders are placed online through your OAKENZ trade account.
2.2 The minimum order value is NZ$250 excluding GST.
2.3 We may decline or cancel an order, or supply part of an order, for example if stock is unavailable. We will refund you in full for any goods we do not supply.
3. Pricing
3.1 Trade prices are shown in New Zealand dollars excluding GST. GST is added at checkout at the applicable rate.
3.2 Prices may change from time to time. The price that applies is the price shown when you place your order.
3.3 Any recommended retail price we provide is a recommendation only. You are free to set your own resale prices.
4. Payment
4.1 Payment is made by card at checkout when you place your order. No card surcharge applies.
4.2 If you prefer to pay by internet banking, contact us before ordering and we will email you a GST tax invoice with our bank details. Payment is due within 7 days of the invoice and we dispatch once payment has cleared. If payment is not received within 7 days, we may cancel the order.
4.3 A GST tax invoice / receipt is provided with your order confirmation.
5. Freight and delivery
5.1 Freight is free on all trade orders delivered within New Zealand.
5.2 We aim to dispatch promptly once payment is received. Delivery times are estimates only and we are not liable for any delay in delivery.
5.3 Ownership of and risk in the goods pass to you on delivery to your nominated address or to your carrier.
5.4 You must check goods on arrival and tell us of any shortage, damage or incorrect item within 5 business days of delivery, with photos where possible.
6. Returns and faulty goods
6.1 If goods are faulty or incorrectly supplied, contact us within the time in clause 5.4 (or within a reasonable time for faults that are not apparent on delivery). We will repair, replace, credit or refund at our option.
6.2 Change-of-mind returns are only accepted with our prior written approval, must be unused and in resaleable original packaging, and may incur a restocking fee and return freight at your cost.
7. Business purchases and liability
7.1 You are acquiring the goods for the purposes of a business. The Consumer Guarantees Act 1993 does not apply to supplies under these terms. We and you are both in trade and agree that, to the extent permitted by section 5D of the Fair Trading Act 1986, sections 9, 12A, 13 and 14(1) of that Act do not apply, and that it is fair and reasonable to be bound by this clause.
7.2 To the extent permitted by law, our total liability in connection with any order is limited to the price of the goods concerned, and we are not liable for any indirect or consequential loss, or loss of profit.
8. Brand and marketing
8.1 You may use OAKENZ product images, names and descriptions supplied by us to promote and sell OAKENZ products. You must not alter our branding or represent yourself as OAKENZ.
9. Privacy
9.1 We collect and hold your business and contact information to manage your account and process orders, in accordance with the Privacy Act 2020. You may request access to and correction of your personal information by contacting us.
10. General
10.1 We may update these terms by giving you notice (including by email or by posting the updated terms on our website). The updated terms apply to orders placed after the notice.
10.2 Neither party is liable for failure or delay caused by events beyond its reasonable control.
10.3 These terms are governed by New Zealand law and the New Zealand courts have non-exclusive jurisdiction.
10.4 These terms, together with your order confirmation, are the entire agreement between us for the supply of goods.
